Trust Music is a global digital content distributor and an Official YouTube Partner (MCN), with extensive know-how, experience and technological capabilities, specializes in digital content management, distribution and monetization.
in this agreement:”Content” shall mean all content of any kind, including music, videos and pictures for mobile phone, internet and digital distribution and all remixes, clips, recordings from performances, new performances of existing recordings, etc., in which You participate, or which include any content created or performed by You (in whole or in part).“Digital Platforms” shall include all platforms intended to distribute and make musical works, videos, images or podcasts available to the public through digital means, such as YouTube, Facebook, Music platforms such as Spotify, Apple Music, Boomplay, Amazon Music, Deezer etc.
You. You declare that: (i) You are the exclusive owner of the full rights in the Content; (ii) the Content does not infringe any rights and it complies with any applicable laws including copyright laws, defamation and protection of privacy laws; (iii) You and the Content will comply with Digital Platforms’ terms and conditions; (vi) You are not prohibited by any other agreement or by law, from entering into this agreement; and (v) You will provide Trust Music all Content in a digital form, as soon as it is prepared.
License. You grant Trust Music an exclusive license to distribute and commercialize your Content on Digital Platforms (whether such Content was uploaded by you or any other party), including, without limitation, creating and managing the Content through Official YouTube Channels, performing activities which may be required under Digital Platforms’ Terms and Conditions, and collecting payments from Digital Platforms (“License”).
Without derogation from the above, Trust Music shall have the right to perform any such acts it deems necessary for the distribution and commercialization of the content, such as advertising the Content, and using your picture, name and character in order to promote the Content on Digital Platforms.
Fee. 80% (80% percent) of the amount actually received by Trust Music from Digital Platforms for the use of the Content goes to you – the content owner (“Fee“). Trust Music will retain the remaining amount received. The Fee will be paid on a monthly basis with respect to the revenue which was actually received by Trust Music from Digital Platforms. However, if the Fee will be less than $100, such amount will be accumulated and paid only after it exceeds $100. Trust Music will store your revenue for a period of 12 months only.
Copyright.(a) You will not upload to your YouTube channel or to any other Digital Platform, or provide to Trust Music, any content that belongs to others. In case that your YouTube channel receives a copyright Takedown (Strike) you will act immediately in order to remove the strike.(b) You will not issue any copyright Takedown (Strike) or any other complaint, regarding another channel associated with Trust Music Network. In case you issue such Takedown (Strike) by mistake you will cooperate immediately with Trust Music in order to retract the strike.(c) You will inform Trust Music regarding any copyright issue or concern you may have regarding other content, and Trust Music will review and handle it.(d) In case you violate your obligations under this section 6, Trust Music shall have the right to immediately terminate the agreement, including the release of your channel from the network.
Liability. You are responsible for the Content, in all aspects. in any case of claim against Trust Music for any cause whatsoever that relates to your Content, it shall be your sole responsibility to defend and compensate Trust Music for any damage or loss.
Trust Music cannot guarantee the success of your content on any of the platforms. To avoid doubt, Trust music shall not be liable for any damage or loss caused to you in connection with the Content and or its distribution, for any reason, and the only responsibility of Trust Music is to pay you the Fee as defined above.
Term of the Agreement. This agreement is in effect for 12 months as of the signing date and will automatically be extended for additional periods of 12 months, unless one party notifies the other in writing, 60 days prior to the end of the term, that it desires to terminate the agreement. In addition, each party
can terminate this agreement, if the other party violates its obligations and fails to cure them within 30 days since he received a written notice.
General
(a) Both parties will keep the details of this Agreement in complete confidence.(b) Any dispute between the parties, with connection to this agreement, will be subject to the Israeli law, and to exclusive jurisdiction of the courts of the state of Israel.
